Terms of Service

These terms govern use of Dryline VMS by vending operators and the people they authorize. If your organization has a signed order form or master agreement with us, that document controls where it differs from these terms.

These Terms of Service ("Terms") are between Cactus Wash Systems LLC ("we", "us") and the organization that subscribes to Dryline VMS ("Customer", "your organization"). Everyone who signs in to Dryline VMS under a Customer's organization ("you", an "Authorized User") must also follow them. By using Dryline VMS you accept these Terms on your own behalf and, if you are an administrator, on behalf of your organization.

1. The service

Dryline VMS is management software for unattended vending: a visual machine front and planogram editor, scan-to-fill and inventory tracking, sales reporting, and Rain Pay card acceptance for compatible machines. It is delivered as a web application, a mobile app for iOS and Android, and related APIs. We may add, change, or retire features over time; we will not remove a feature from a plan a Customer is paying for without reasonable notice.

2. Accounts and access

  • Accounts are created and managed by the Customer's administrators. There is no public sign-up. The Customer is responsible for who it invites and for removing people who should no longer have access.
  • Keep your credentials confidential and do not share an account. Tell us promptly at support@drylinevms.com if you believe an account has been compromised.
  • You must be at least 18 years old and acting for a business to use Dryline VMS.
  • We may suspend an account or an organization to protect the service, other customers, or payment networks, and will tell the Customer why unless the law prevents it.

3. Plans, fees, and billing

  • Dryline VMS is sold in plans (for example DrylineVMS Core and DrylineVMS Pro) priced per the Customer's order form or quote. Fees are billed to the Customer's organization, not to individual users, and the mobile app contains no purchases.
  • Fees are exclusive of taxes. Recurring fees are charged in advance for each billing period using the payment method the Customer provides, and continue until the Customer cancels per its order form.
  • Rain Pay card processing is provided under the Customer's separate merchant agreement with the payment processor, which sets processing rates, settlement timing, chargeback rules, and reserves.
  • We may change list prices with at least 30 days' notice before the change applies to a renewal. Prices fixed in a signed order form stay fixed for its term.

4. Hardware and third-party services

Card readers, barcode scanners, and other hardware sold or recommended by us are covered by the manufacturer's warranty and terms, including Socket Mobile scanners and Dejavoo readers. Machines must already support MDB cashless payment for Rain Pay to work; we do not retrofit machines. Third-party services connected to Dryline VMS (payment processing, product data, mobile app stores) are governed by their own terms.

5. Your data

  • The Customer owns the data it and its users enter or generate in Dryline VMS: machines, products, planograms, inventory, and sales records ("Customer Data"). You grant us a license to host, process, back up, and display Customer Data to provide and improve the service and to comply with law.
  • We handle personal information as described in our Privacy Policy. The Customer is responsible for having the right to enter the data it enters, including any information about its staff.
  • We may use aggregated, de-identified usage information (for example, how many machines use a feature) to operate and improve Dryline VMS. It never identifies a Customer or a person.
  • On termination we make Customer Data available for export for 30 days, then delete or anonymize it, except records we must keep by law or payment-network rules.

6. Acceptable use

You agree not to:

  • Use Dryline VMS for anything unlawful or to sell goods that are illegal where the machine is located.
  • Access another organization's data or attempt to bypass access controls, rate limits, or security measures.
  • Interfere with the service, probe it for vulnerabilities without written permission, or introduce malicious code.
  • Reverse engineer, copy, resell, or build a competing product from the software except as the law allows.
  • Use the demo environment to store real business data; demo data is shared and reset regularly.

7. Availability, support, and changes

We work to keep Dryline VMS available around the clock but do not guarantee uninterrupted service. Planned maintenance is announced in advance where practical. Support is provided by email at support@drylinevms.com; see Support. Mobile app updates may be required to keep using the app; older versions may stop working when the servers change.

8. Intellectual property

Dryline VMS, Rain Pay, the software, designs, documentation, and trademarks are owned by Cactus Wash Systems LLC and its licensors. We grant the Customer and its Authorized Users a limited, non-exclusive, non-transferable license to use them for the Customer's own vending operations during the subscription. Feedback you give us may be used without obligation.

9. Disclaimers

Dryline VMS is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Inventory counts, sales reports, and reconciliations depend on the data your machines, readers, and staff report; you remain responsible for verifying them for accounting, tax, and refund decisions.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability for all claims relating to Dryline VMS in any twelve-month period is limited to the fees the Customer paid us for Dryline VMS in that period. These limits do not apply to a party's breach of Section 6, infringement of the other's intellectual property, or liability that cannot be limited by law.

11. Term and termination

These Terms apply for as long as the Customer has a Dryline VMS subscription. Either party may terminate for material breach that is not cured within 30 days of written notice. The Customer may cancel per its order form. On termination, access ends, outstanding fees become due, and Section 5 governs Customer Data.

12. Changes to these Terms

We may update these Terms. We will post the new version here with a new effective date and, for material changes, notify Customer administrators at least 30 days before they take effect. Continued use after the effective date is acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law rules. Courts located in Maricopa County, Arizona have exclusive jurisdiction, and each party consents to that venue, except that either party may seek injunctive relief for misuse of its intellectual property anywhere.
